Terms and Conditions for Keystone Creative Escape Games

Introduction
- These terms and conditions outline the rules and regulations for the sale and installation of escape room products and services by Keystone Creative Escape Games.

Definitions
- “Company” refers to Keystone Creative Escape Games.
- “Client” refers to the business purchasing the escape room products or services.
- “Products” include escape room designs, materials, props, media files, and full build-outs.
- “Services” include installation, training, and support provided by the Company.

Order and Payment Terms
- Quotation: A detailed quotation will be provided to the Client after an initial consultation. Prices are subject to change until a deposit is received.
- Payment Terms: A 50% deposit is required to confirm the order. The remaining balance is due upon one of the following based upon agreed package client selects:
- Shipment of product
- Installation of product
- Completion of product +90 day – Upon completion of the offsite product construction, the Client will be notified. If the Client is not ready for installation or shipment within 90 days of this notification, the remaining balance must still be paid within that 90-day period, regardless of the delay in installation or shipment on clients end.
- Methods of Payment: Payments can be made via ACH, bank wire, bank check, other methods as agreed upon by the Company and Client.

Delivery and Installation
- Delivery: The Company will arrange for delivery of the products to the Client’s specified location. Delivery times will be confirmed at the time of order.
- Installation: Installation is offered as an additional option. The details for the installation will be covered in the customer quote. The Client must ensure the installation site meets all necessary requirements and is accessible.
*** It is important to note that Company is not responsible to meet local code and permitting regulations. This is the full responsibility of the client. (Ex. HVAC, Plumbing, Electrical, ADA, etc.)
- Company will begin working on project, including delivery of digital files within 2 business days of a verified deposit for Company’s Financial Institution.

Cancellations and Refunds
- All sales are final. No cancelation or refund will be made.

Intellectual Property
- Ownership: All designs, materials, and content provided by the Company remain the intellectual property of Keystone Creative Escape Games.
- Usage: The Client is granted a non-exclusive license to use the products and services for their intended purpose. Resale or redistribution is prohibited.

Warranty and Liability
- Warranty: The Company provides a 3-month warranty on all products and workmanship. This warranty covers defects in materials and construction. The warranty does not cover damage caused by customers during gameplay or by negligence from client employees.
- Liability: The Company’s liability is limited to the repair or replacement of defective products. The Company is not liable for any indirect or consequential damages.

Confidentiality
- Confidential Information: Both parties agree to keep all proprietary information received from the other party confidential and not to disclose it to third parties.

Governing Law
- These terms and conditions are governed by the laws of Pennsylvania in which the Company is registered. Any disputes will be resolved in the appropriate courts of that state.

Amendments
- The Company reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes prior to their next purchase.
